Terms of Use

Softium provides a platform and user accounts to access its software and applications, including the Planium mobile application (collectively, the "Service"). By registering for a Softium account or using the Planium app, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

1. Eligibility and Account Registration

To create a Softium account and use Planium, you must meet the following requirements:

2. User Responsibilities and Conduct

You agree to use the Service in accordance with all applicable laws and regulations. You must not use the Service for any illegal or unauthorized purposes. You agree not to engage in any of the following prohibited activities:

Softium reserves the right to investigate and take action against any user who violates these rules, including warning the user, removing offending content, or terminating the user's account.

3. Use of Planium

Planium is a mobile app designed for planning and coordinating activities with friends. The core features of Planium include:

All content and communications within Planium are visible only to participants of that activity. You are responsible for the information you share and the invitations you send. Softium is not responsible for any activities you plan, invitees' behavior, or events that occur offline. The Service is provided "as is", and availability of features is not guaranteed.

4. Account Suspension and Termination

Softium reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, with or without cause. Causes for suspension or termination include:

Upon suspension or termination, your right to use the Service immediately ceases, and Softium may delete or block access to any data associated with your account. You may also delete your account at any time by following the procedures in the Service or contacting Softium support.

5. Privacy and Data Collection

Softium collects personal data that you provide during registration or through your use of Planium. This includes, for example, your email address (used as your login), username, and any personal information you choose to provide for your profile or activities. We may also collect non-sensitive information such as activity data (for example, which events you create or join) and device data (for example, push notification tokens and app usage statistics).

Softium does not collect sensitive personal data (such as financial or health information) unless you explicitly provide it, and even then such data is handled with strict care. All personal data is processed in accordance with our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to Softium's collection, use, and disclosure of your personal data as described in the Privacy Policy. Softium may use this data to operate the Service, send you updates or notifications about the Service, and improve our products. We may also share data with third-party service providers who assist us in operating the Service, but only as described in the Privacy Policy.

6. Notifications

Users of Planium may opt in to receive device notifications (e.g., push notifications) for activity invitations, updates, reminders, chat messages, ect. You can manage notification preferences in the app or through your device settings. Disabling notifications may limit your ability to receive timely updates from the Service. Softium is not liable for any missed notifications or the contents of notifications once sent. Important communications, such as account or policy updates, may be sent via email instead of push notifications.

7. Intellectual Property

The Service and all related content, features, and functionality (including but not limited to all text, graphics, user interface, code, designs, audio, and images) are owned by Softium or its licensors and are protected by intellectual property laws. Softium grants you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or its contents. You may not remove or alter any intellectual property notices from the Service. The Softium name, logo, and trademarks are the property of Softium.

Your own content (such as events you create and chat messages you send) remains your property. However, by posting content to the Service, you grant Softium a perpetual, non-exclusive, royalty-free, worldwide license to use, copy, store, and display such content as needed to provide and improve the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Softium and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. This includes damages caused by your reliance on any information in the Service, events you organize, or interactions with other users.

Softium does not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service is provided "as is" and "as available", without warranties of any kind, express or implied. Softium disclaims all warranties to the fullest extent permitted by law, including any implied warranties of merchantability or fitness for a particular purpose.

In no event will Softium's total liability to you for all claims exceed the amount you have paid (if any) for accessing the Service, or €100, whichever is higher. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above limitations may not apply to you.

9. Modifications

Softium reserves the right to revise or modify these Terms at any time. When material changes are made to the Terms, Softium will notify users (for example, via an in-app notice or email). Continued use of the Service after any revisions indicates your acceptance of the changes. You should review the Terms periodically. If you do not agree to any changes, you must stop using the Service.

10. Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflicts of laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Netherlands.
